RC Law LLP acted as U.S. legal counsel to IRIS Ventures, a Spanish growth equity firm investing in purpose-driven consumer and lifestyle brands.  The firm advised IRIS on its recent multi-million-dollar investment in Goddess Maintenance Company, a U.S. science-led beauty brand at the forefront of the bioprotection category.

The transaction was led by Counsel Ignacio C. Furfaro, with support from associates Luis Basavilbaso and Tamara Galeote.  Taft Law acted as counsel to the issuer.

It was a memorable evening reconnecting with friends and colleagues and meeting new leaders committed to strengthening collaboration between Spain and the United States.

One year after the successful establishment of an office in Madrid, Spain, RC Law announced the opening of an office in Barcelona.  Like the Madrid office, the purpose of the Barcelona office is to provide U.S. legal advice to local companies and law firms, with emphasis on U.S. international tax law.  In contrast, the 3-member Madrid office team focuses on corporate and venture capital transactions. The Barcelona office will have an initial team of two U.S. trained lawyers who will work in full integration with the Madrid team.

The Barcelona office will be managed by Maria Martinez, U.S. tax attorney counsel to the firm.  Maria, who recently joined the firm, is a Barcelona native, a law graduate from ESADE Law School in Barcelona and holds an LL.M. in Taxation from Georgetown University in Washington D.C.  She is admitted to practice in Spain and in New York. Maria’s career spans over a period of 20 years as a member of the tax practice groups of international firms such as Baker & McKenzie and EY. While she started her career in Spain, she has spent most of her professional life in the United States (New York City and Washington D.C.)  Immediately prior to joining RC Law, Maria worked at the U.S. Internal Revenue Service, as Manager of the Treaty Assistance and Interpretation Team, in the Treaty and Transfer Pricing Operations office of Large Business and International (LB&I).

RC Law acted as legal counsel to Grupo Hotusa, through its Eurostars Hotel Company brand, in connection with the acquisition of the St. Gregory Hotel, a 156-key, four-star property located between Georgetown and Dupont Circle in Washington, D.C., in a multimillion-dollar transaction.

This transaction is Eurostars’ third U.S. hotel acquisition in just one year, following Eurostars The Boxer in Boston, Massachusetts, and Eurostars Winter Haven in Miami Beach, Florida. RC Law has acted as counsel to Grupo Hotusa in all three transactions. We appreciate Grupo Hotusa/Eurostars’ continued trust in RC Law as the group advances its international expansion.

RC Law is pleased to announce the strengthening of its Tax practice with the addition of Partner Daniel Landaluce, who will be based in Washington, D.C., and Counsel María Martínez, who will be based in Barcelona, Spain. Together, they bring decades of tax experience that will enhance RC Law’s ability to serve international and U.S. clients.

Daniel who has been collaborating with RC Law in the past, will lead the Firm’s tax practice.  He is a graduate from ESADE Law School in Barcelona and holds a Master in Taxation from Fordham University. A former tax executive at PwC Spain and then New York, he has more than 20 years of combined Big Four and in-house leadership experience at major U.S. headquartered corporations (including Huawei U.S., UiPath, a company listed in the NYSE, and Reef Technology). He is qualified as a tax adviser in both Spain and in the U.S.  Daniel specializes in advising companies expanding globally and managing the tax needs of U.S. multinationals.  He brings to the Firm a unique combination of expertise in cross-border tax structuring and in U.S. corporate income tax law.

María is also an ESADE Law School graduate. She holds an LL.M. in Taxation from Georgetown University and is admitted to practice both in Spain and in New York. Maria’s career spans over 20 years as a member of the tax practice groups of international firms such as Baker & McKenzie and EY. RC Law acted as legal counsel to Grupo Hotusa, through its Eurostars Hotel Company brand, in connection with the acquisition of The Boxer Hotel, an 80-key, four-star property located in Boston’s historic West End neighborhood, in a multimillion-dollar transaction.

Formerly operated by Hersha Hospitality Management, The Boxer Hotel now becomes part of Eurostars’ growing U.S. portfolio, marking another step in the group’s continued international expansion. This acquisition also represents the second U.S. hotel transaction in which Grupo Hotusa has entrusted RC Law, demonstrating the group’s continued trust in the firm.

RC Law LLP served as U.S. legal counsel to Qbeast, a Barcelona-based open data platform, in its recent venture capital financing round. The round was led by investors Peak XV’s Surge, HWK Tech Investment, and Elaia Partners.

The transaction featured an innovative investment structure, marking a significant step in the evolution of cross-border venture capital deals involving Spanish startups. It also included the formation of Qbeast’s U.S. vehicle to operate across multiple states and support the company’s international growth strategy. RC Law structured the transaction and provided legal counsel on U.S. corporate and venture capital matters.
